Terms of Service

These Terms of Service ("Terms") govern access to and use of AskYara, provided by AskYara Ltd ("AskYara", "we", "us", "our"), a company registered in England and Wales under company number 17276111, registered address 36 The Larches, London, United Kingdom, N13 5AX.
1. Definitions
"Service" means the AskYara application, website, and related services. "Customer" or "you" means the business entering into these Terms. "Yara" means AskYara's AI assistant feature. "Connected Service" means any third-party tool you connect to AskYara, such as Shopify.
2. Eligibility
AskYara is sold exclusively to business customers and is not intended for personal, household, or consumer use. By using AskYara, you confirm that:
- You are at least 18 years old.
- You are entering into these Terms on behalf of a business, and you have the authority to bind that business.
- You will use AskYara only for legitimate business purposes.
3. Account registration and responsibilities
You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access to your account.
4. Free trial
New customers receive a 14-day free trial. No credit card is required to start a trial. At the end of the trial, you may choose to subscribe to continue using AskYara. If you take no action, your access will pause until you subscribe.
5. Subscription, billing, and pricing
AskYara currently offers:
- AskYara: £49/month.
- AskYara Pro: £99/month — coming soon.
Pricing and the features included in each plan are under active review and may change; we will give you at least 30 days' notice of any price change before it takes effect on your next renewal.
Subscriptions renew automatically at the end of each billing period unless cancelled in accordance with Section 6.
If a payment fails, we will attempt to notify you and may retry the charge. If payment is not resolved within 7 days, we may suspend or terminate your access to the Service.
6. Cancellation policy
You may cancel at any time before your next billing date. You will not be charged again, and you will retain access until the end of your current billing period.
7. Acceptable use
You agree not to use AskYara to:
- Violate any applicable law or regulation.
- Infringe the intellectual property or other rights of any third party.
- Attempt to gain unauthorised access to AskYara's systems or another user's account.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service to process data you are not lawfully entitled to process.
8. Integrations and third-party services
AskYara connects to third-party services that you choose to authorise, such as Shopify, and others listed in our Privacy Policy as they become available. We are not responsible for the accuracy, availability, or content of data provided by these third-party services, or for any downtime or changes made by those providers. Your use of any Connected Service remains subject to that provider's own terms.
9. Intellectual property
AskYara and its content, features, and functionality are owned by AskYara Ltd and are protected by copyright, trademark, and other intellectual property laws. You retain all rights to your own business data. You grant us a limited licence to process your data solely to provide the Service to you.
10. Data Processing Agreement
This Section 10 forms a Data Processing Agreement ("DPA") between you (as data controller) and AskYara (as data processor) in respect of business and operational data processed by AskYara on your behalf, and is intended to satisfy Article 28 of the UK GDPR.
10.1 Subject matter and duration
AskYara processes personal data on your behalf for the duration of your subscription to the Service, and for any period thereafter required to fulfil deletion or return obligations under Section 10.7.
10.2 Nature and purpose of processing
AskYara processes personal data to provide the Service: connecting to your authorised third-party tools, generating insights and briefings, and answering questions you ask Yara.
10.3 Type of personal data and categories of data subjects
The personal data processed may include names, email addresses, and order and transaction records relating to your customers and staff, as further described in our Privacy Policy.
10.4 Your obligations and rights as controller
You are responsible for ensuring you have a lawful basis to process the personal data you connect to AskYara, and for responding to data subject requests relating to that data, save where AskYara is required to assist under Section 10.5.
10.5 AskYara's obligations as processor
AskYara will:
- Process personal data only on your documented instructions, including with regard to international transfers, unless required to do otherwise by law.
- Ensure that persons authorised to process the data are subject to confidentiality obligations.
- Implement appropriate technical and organisational security measures.
- Engage sub-processors only with your general authorisation (as listed in our Privacy Policy), and impose equivalent data protection obligations on them.
- Assist you, so far as reasonably possible, in responding to requests from data subjects exercising their rights.
- Assist you in ensuring compliance with security, breach notification, and data protection impact assessment obligations, taking into account the nature of processing.
- Delete or return all personal data at the end of the relationship, at your choice, except where retention is required by law.
- Make available to you information reasonably necessary to demonstrate compliance with this DPA, and allow for and contribute to audits, including inspections, conducted by you or an auditor you appoint, subject to reasonable notice.
10.6 Sub-processors
The sub-processors engaged by AskYara are listed in our Privacy Policy. We will notify you of any intended changes to this list and give you the opportunity to object.
10.7 Deletion or return of data
Upon termination of your subscription, AskYara will, at your election, delete or return all personal data processed on your behalf, unless retention is required by applicable law.
11. Limitation of liability
To the maximum extent permitted by law, AskYara's total liability arising out of or related to these Terms will not exceed the amount you paid to AskYara in the 12 months preceding the claim. AskYara will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity.
12. Warranties and disclaimers
The Service is provided "as is" and "as available". AskYara does not warrant that the Service will be uninterrupted, error-free, or that insights generated by Yara will be accurate or complete. You are responsible for verifying any information before relying on it for business decisions.
13. Indemnification
You agree to indemnify and hold AskYara harmless from any claims, damages, or expenses arising from your breach of these Terms or your misuse of the Service.
14. Term and termination
These Terms remain in effect for as long as you maintain an active subscription. Either party may terminate for material breach if the breach is not cured within 14 days of notice. We may suspend or terminate your access immediately for a breach of Section 7 (Acceptable Use).
15. Changes to these terms
We may update these Terms from time to time. We will give you at least 30 days' notice of material changes by email or in-app notice before they take effect.
16. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
